EVERYDAY DOSE REFERRAL+
PROGRAM TERMS AND CONDITIONS
These Terms and Conditions (the "Terms") govern your participation in the Everyday Dose, Inc ("Everyday Dose," "Company," "we," "us," or "our") Referral+ Program (the "Program"). These Terms incorporate by reference our general Website Terms and Conditions at everydaydose.com, including the binding arbitration, class action waiver, and dispute resolution provisions therein. If these Terms conflict with the Website Terms, these Terms control with respect to the Program.
You must be eighteen (18) years of age or older to participate. By participating, you represent that you meet this requirement and expressly consent to these Terms.
FAILURE TO COMPLY WITH THESE TERMS WILL RESULT IN IMMEDIATE TERMINATION OF YOUR PARTICIPATION AND FORFEITURE OF ALL UNPAID REFERRAL REWARDS.
Everyday Dose reserves the right to pursue any and all claims, legal and equitable, resulting from any violation of these Terms.
Everyday Dose reserves the right to modify these Terms at any time, with or without notice. Your continued participation following any change constitutes your agreement to that change.

A. How Referral+ Works
Upon enrollment, you will receive a unique personal referral link (your "Referral Link") through our referral platform partner, Superfiliate. You may share your Referral Link with friends, family, and other personal contacts.
Rewards Structure. For each Qualifying Referral (defined below), you may earn up to fifty U.S. dollars ($50.00) in cash, paid in installments tied to your Referred Friend's subscription orders:

First order: $0.00 to you. Your Referred Friend receives ten U.S. dollars ($10.00) off their first qualifying purchase.

Second order: $25.00 to you when your Referred Friend's second consecutive subscription order ships and is not refunded, disputed, or charged back within the standard return window.

Third order: An additional $25.00 to you when your Referred Friend's third consecutive subscription order ships and is not refunded, disputed, or charged back within the standard return window.
If your Referred Friend cancels, pauses, or otherwise interrupts their subscription before the second or third qualifying order ships, no reward will be paid for that milestone, and you have no entitlement to any unearned portion of the $50.00.
Monthly Cap. You may earn no more than five hundred U.S. dollars ($500.00) in rewards per calendar month, regardless of the number of Qualifying Referrals generated. Rewards exceeding this cap are forfeited and do not roll over.
Payouts. All payouts are processed through Superfiliate under Superfiliate's then-current payment terms. Everyday Dose is not responsible for delays, errors, or issues caused by Superfiliate or your selected payout method. You are solely responsible for providing accurate payout information and for any taxes owed (see Section H).
The rewards described in these Terms apply only to the Referral+ Program. Everyday Dose operates other referral and ambassador programs (including through Superfiliate), and those programs are governed by their own separate terms.
B. Qualifying Referrals
A "Qualifying Referral" means a referral meeting all of the following:

New Customer Only. The referred individual (the "Referred Friend") must be a new customer of Everyday Dose. A "new customer" is a person whose name, shipping address, email address, and payment method have not previously been associated with any Everyday Dose account or purchase. Everyday Dose determines new-customer status in its sole discretion.

Attribution. The Referred Friend must click your Referral Link and complete their first qualifying purchase within seven (7) days of the click. Attribution is determined solely by Superfiliate's tracking, and Everyday Dose's records are final.

Subscription Purchase. Rewards beyond the first order require the Referred Friend to enroll in and maintain an active subscription through the second and third orders.

Good Standing. Orders must be paid in full, must not be refunded or charged back within the applicable return window, and must comply with our Website Terms and Conditions.
No Self-Referrals. You may not refer yourself, use multiple accounts, household members, addresses, or payment methods to refer to your own benefit, or otherwise circumvent the new-customer requirement. Doing so is grounds for immediate termination and forfeiture of all unpaid rewards.
C. Permitted Uses
You may share your Referral Link with friends, family, and personal contacts through one-to-one channels and your own personal social media accounts. Everyday Dose may provide additional guidance from time to time, and you are responsible for monitoring and complying with it.
D. Prohibited Uses
The following uses of your Referral Link are PROHIBITED:

DO NOT post your Referral Link on coupon, deal, cashback, or rebate sites (e.g., RetailMeNot, Honey, Slickdeals).

DO NOT post your Referral Link on Reddit, Google search results, or other public forums where it could reach people who are not your personal contacts.

DO NOT bid on Everyday Dose brand terms or variations on Google Ads, Meta Ads, TikTok Ads, or any paid advertising platform.

DO NOT post your Referral Link on Everyday Dose's official social media accounts, in the comments of our posts, or on any Everyday Dose ambassador or creator's profile or posts.

DO NOT make false, misleading, or unsubstantiated claims about Everyday Dose products, including health claims related to the treatment, cure, or prevention of disease.

DO NOT use spam, bots, or automated systems to distribute your Referral Link.

DO NOT disparage Everyday Dose products, advertising, employees, or business practices (see Section J).

DO NOT use inappropriate language or reference controversial topics when promoting your Referral Link.

DO NOT impersonate Everyday Dose or imply any official affiliation, employment, or endorsement beyond your status as a Program participant.
When sharing your Referral Link on social media or other public channels, you must clearly and conspicuously disclose your relationship with Everyday Dose as required by the FTC's Endorsement Guides and other applicable law (e.g., "#ad," "#referral").
FAILURE TO COMPLY WILL RESULT IN IMMEDIATE TERMINATION AND FORFEITURE OF ALL UNPAID REWARDS. Everyday Dose may modify these policies at any time, in its sole discretion, with or without notice.
E. Representations and Warranties
You represent and warrant that: (a) you are eighteen (18) years of age or older; (b) you have the legal right and authority to enter into this Agreement; (c) you will not violate any applicable laws or regulations (including the FTC's Endorsement Guides and CAN-SPAM Act) or breach any third-party agreements in connection with the Program; (d) you will not violate, infringe, or misappropriate the intellectual property, proprietary, privacy, or publicity rights of any third party; and (e) you will not be abusive, harassing, harmful to reputation, pornographic, indecent, profane, obscene, hateful, racist, or otherwise objectionable, false, or misleading in connection with the Program.
F. Term and Termination
Everyday Dose reserves sole discretion over your participation. We may terminate or modify these Terms, or your participation, at any time and for any reason, with or without notice.
Upon termination, Everyday Dose will pay rewards earned but unpaid as of the termination date under its then-applicable payment policies and Superfiliate's terms, provided the termination is not due to your violation of these Terms.
Rewards forfeited due to your violation of these Terms will not be paid, as determined by Everyday Dose in its sole discretion.
Provisions intended by their meaning and effect to survive termination shall so survive — including, without limitation, Sections E, G, H, I, J, and K.
G. Intellectual Property and Confidential Information
You recognize that Everyday Dose engages in continuous product development and marketing. During your participation and perpetually thereafter, you will hold in confidence and will not disclose, use, publish, or copy any Everyday Dose Proprietary Information, except where (i) expressly authorized in writing by an Everyday Dose officer, or (ii) required by law.
"Proprietary Information" means private, confidential, trade secret, or other proprietary information (whether or not in tangible form) relating to any actual or anticipated business, product development, or marketing of Everyday Dose, or any non-public information made available to you through the Program, whether disclosed before or after enrollment.
"Proprietary Information" does not include information that is: (i) generally known to the industry or the public through no fault of yours; (ii) legitimately made available to you by a third party without breach of any confidentiality obligation; or (iii) part of your general skill and knowledge.
The Everyday Dose name, logos, trademarks, product imagery, and marketing content remain Everyday Dose's exclusive property. The Program does not grant you any license to use such property except as expressly permitted in writing or through Program materials.
H. Indemnification and Taxes
Indemnification. You shall indemnify, defend, and hold harmless Everyday Dose, and its parent companies, subsidiaries, affiliates, shareholders, members, managers, officers, directors, employees, agents, and representatives from and against any and all claims, costs, proceedings, demands, losses, damages, and expenses (including reasonable attorneys' fees, reimbursed as incurred) arising from or relating to any actual or alleged breach of your representations, warranties, or covenants in these Terms, or your negligence or misconduct. You may not settle any indemnified claim against Everyday Dose unless the settlement unconditionally releases Everyday Dose of all liability. Everyday Dose may participate in the defense at its expense, and may undertake and control the defense at your expense if you materially fail to do so.
Taxes. You are solely responsible for any taxes owed on rewards. Everyday Dose and/or Superfiliate may be required to issue tax forms (such as IRS Form 1099) for rewards meeting applicable reporting thresholds, and you agree to provide tax information reasonably requested in connection with such reporting.
I. No Publicity
Other than personal sharing of your Referral Link as contemplated by these Terms, you may not issue any press, news, or other release, or otherwise publicize that you are associated with Everyday Dose, without our prior written permission.
J. Non-Disparagement
You agree not to, orally or in writing, criticize, disparage, make negative statements about, or otherwise undermine the reputation of Everyday Dose, or comment negatively on the business operations, products, services, employees, practices, procedures, or policies of Everyday Dose. Nothing in this Section prevents you from making truthful statements to government agencies, in legal proceedings, or where otherwise required or protected by law, including the federal Consumer Review Fairness Act.
K. Miscellaneous
Independent Contractors. The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship. You receive no company-sponsored benefits. Any taxes imposed on you due to activities hereunder are your sole responsibility.
Assignment. You may not assign any rights or obligations hereunder without our prior written consent; any purported assignment is void. Everyday Dose may assign these Terms without your consent to an affiliate or to a third party acquiring substantially all of its assets or business.
Amendments. Everyday Dose may modify these Terms at any time, with or without notice. Your continued participation following any change constitutes your agreement to that change.
Dispute Resolution; Binding Arbitration; Class Action Waiver. Any controversy or claim arising out of or relating to these Terms or the Program is subject to the binding arbitration, class action waiver, and dispute resolution provisions in Everyday Dose's general Website Terms and Conditions, incorporated herein by reference.
Governing Law and Venue. These Terms and all matters arising out of the Program — whether in contract, tort, or statute — are governed by the laws of the State of Texas, without giving effect to its conflict-of-laws principles. Subject to the arbitration provisions incorporated above, any legal suit, action, or proceeding shall be instituted in the federal or state courts located in Travis County, Texas, and each party irrevocably submits to the exclusive jurisdiction of such courts and waives any objection based on jurisdiction or venue.
Severability. If any part of these Terms is held invalid or unenforceable, it will be deemed replaced by a valid provision that most closely matches the original intent, and the remainder of these Terms will continue in full force.
No Waiver. A party's failure to enforce any provision is not a waiver of the right to later enforce it.
Entire Agreement. These Terms, together with our Website Terms and Conditions and Privacy Policy (each incorporated herein by reference), constitute the complete agreement of the parties regarding the Program and supersede all prior agreements.
Knowing and Voluntary Agreement. By participating, you acknowledge that you have read and understand these Terms, knowingly and voluntarily agree to be bound by them, have been advised to consult counsel if desired, and have either done so or freely chosen not to.
